License Agreement
SOFTWARE LICENSE
PLEASE READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THIS PACKAGE. THE
INDIVIDUAL OR ENTITY INSTALLING THIS PACKAGE (THE "END USER") AGREES TO BE BOUND
BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE,
DO NOT INSTALL OR USE THE SOFTWARE, UNINSTALL ALL COPIES INSTALLED, AND DESTROY
OR RETURN ALL COPIES IN YOUR POSSESSION.
The enclosed computer program and the accompanying documentation are provided to
the End-User by Quantum Software Solutions, Inc. ("Licensor") for use only under
the following terms. Licensor reserves any right not expressly granted to the
End-user. The End-User owns the disk on which the Software is recorded, but
Licensor retains ownership of all copies of the Software itself. The End-User
assumes sole responsibility for the installation, use and results obtained from
use of the Software.
1. License.
This License Agreement permits you to install and use the accompanying version
of Quantum Software Solutions, Inc.'s Quantum Project Manager software (the
"Software") for use on one of your computers. The Software is in "use" on a
computer when it is loaded into temporary memory (i.e., RAM) or installed into
permanent memory (e.g., hard disk, CD-ROM or other storage device) of that
computer. Installation and use of the Software on additional computers requires
a separate license to be purchased for each computer. If you purchased multiple
licenses, the number of licenses included with your purchase will be indicated
on your purchase receipt, which should be kept as proof of the number of
licenses purchased or authorized. User licenses are only valid within your
company and location, and are not transferable to another company or location.
Note that the Software includes the ability to print some information onto
certain original AIA* Contract Documents, which users must purchase from AIA*.
The Software does not generate any AIA* Contract Documents. The AIA* Contract
Documents you print to from this program must be original AIA* documents.
2. No Other Warranties
EXCEPT AS PROVIDED ABOVE, THE LICENSED SOFTWARE IS PROVIDED "AS IS" WITHOUT
WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED
TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTUM SOFTWARE
SOLUTIONS, INC. AND ITS SUPPLIERS DISCLAIM ALL SUCH IMPLIED WARRANTIES AND ALL
OTHER WARRANTIES. (Some states do not permit the exclusion of implied
warranties, so the above exclusion may not apply.)
3. Restrictions
The End-User may NOT sublicense, assign, or distribute copies of the Software to
others. The End-User may NOT decompile, reverse engineer, disassemble, or
otherwise reduce the Software to a human readable form. THE END-USER MAY NOT
TRANSLATE, RENT, LEASE, LOAN, RESELL FOR PROFIT, DISTRIBUTE, OR OTHERWISE ASSIGN
OR TRANSFER THE SOFTWARE, OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE OR
ANY PART THEREOF.
4. No Other Liability
THE LICENSOR'S SOLE OBLIGATION OR LIABILITY UNDER THIS LICENSE AGREEMENT IS SET
FORTH IN THE LIMITED WARRANTY ABOVE. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, IN NO EVENT SHALL QUANTUM SOFTWARE SOLUTIONS, INC. OR ITS
SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION,
DIRECT OR INDIRECT DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS,
BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY
LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE LICENSED SOFTWARE, OR
FOR ANY CLAIM OF ANY THIRD PARTY. IN ANY CASE, THE LICENSOR'S ENTIRE LIABILITY
UNDER ANY PROVISION OF THIS LICENSE AGREEMENT SHALL BE LIMITED TO THE ORIGINAL
COST OF THE SOFTWARE. (Some states do not permit the exclusion or limitation of
incidental or consequential damages, so the above exclusion or limitation may
not
apply.)
5. Special Provisions.
This License Agreement shall be governed by and interpreted under the laws of
the State of Pennsylvania, United States of America, without regard to conflicts
of law provisions. By accepting this License Agreement, you agree to be subject
to jurisdiction in Pennsylvania, and to commence any action arising under or
relating to this License Agreement in the appropriate State or Federal Court in
Pennsylvania.
6. Acknowledgment
BY INSTALLING THE LICENSED SOFTWARE YOU ACKNOWLEDGE THAT YOU HAVE READ AND
UNDERSTOOD THIS LICENSE AGREEMENT AND THAT YOU AGREE TO BE BOUND BY ITS TERMS.
YOU FURTHER AGREE THAT THIS LICENSE AGREEMENT IS THE COMPLETE AND EXCLUSIVE
STATEMENT OF THE AGREEMENT BETWEEN YOU AND QUANTUM SOFTWARE SOLUTIONS, INC., AND
SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER
COMMUNICATIONS RELATING TO THE SUBJECT MATTER OF THIS LICENSE AGREEMENT.

QuickBooks is a registered trademark and service mark of Intuit Inc. in the
United States and other countries. The Quantum Project Manager program is
designed for use with the U.S. versions of QuickBooks 2021 (and/or 2020, 2019,
2018, 2017, 2016, 2015, 2014, 2013, 2012, 2011, 2010) software only.
